These Terms of Service ("Terms") govern your access to and use of the CiteFoundry website, dashboard, and public API (together, the "Service"). By signing up for an account, accessing the Service, or clicking "I agree", you agree to be bound by these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
1. The Service
CiteFoundry runs prompts you register against third-party Large Language Model ("LLM") providers (currently OpenAI, Anthropic, and Google) on a scheduled cadence and reports back which brands were mentioned, which URLs were cited, and how your share-of-voice compares to competitors over time. Capabilities, providers, and limits available to you depend on the plan you select.
2. Your account
You must create an account to use the Service. Accounts are authenticated through our identity provider using your work email, with Google, Microsoft, Apple, or SAML single sign-on depending on your plan. You are responsible for keeping your sign-in credentials and API keys secure and for all activity that occurs under your account.
Each customer organization is provisioned as a "tenant". A tenant contains one or more "projects" (e.g. one per brand you manage). Members you invite to your tenant can access all projects in that tenant. Per-project access controls are available on higher-tier plans.
3. Acceptable use
You agree NOT to use the Service to:
- Submit prompts or content that are unlawful, defamatory, harassing, infringing, or that violate the rights of any person.
- Attempt to reverse-engineer, decompile, or extract the underlying models or training data of any LLM provider through CiteFoundry.
- Use the Service to scrape, mirror, or otherwise replicate LLM provider responses in violation of those providers' terms of service. You are responsible for ensuring your use of the prompts and responses complies with the relevant provider's terms.
- Send prompts that would knowingly cause the underlying LLM providers to generate content prohibited by their policies (including but not limited to content depicting minors, content designed to facilitate violence or self-harm, or content designed to deceive identifiable third parties).
- Interfere with or disrupt the Service, our infrastructure, or other customers' use of the Service, including by attempting to circumvent rate limits, plan limits, or our anti-abuse systems.
- Use the Service to monitor brands you have no legitimate interest in monitoring (including, without limitation, for stalking or harassment of natural persons).
- Resell, sublicense, or white-label the Service except as expressly permitted by your plan (Business and Enterprise plans include defined agency / multi-client rights).
We may suspend or terminate accounts that breach this Section 3, with or without notice depending on severity. We may also be required to remove or refuse to process content to comply with requests from our LLM providers.
4. Your data
You retain all rights, title, and interest in and to the prompts, project configuration, brand-guide context, and any other content you submit to the Service ("Customer Data"). You grant CiteFoundry a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and otherwise use the Customer Data solely to provide and improve the Service for you, to enforce these Terms, and to comply with applicable law.
The responses returned by LLM providers, and the analyses we derive from them (mentions, sentiment classifications, citations, leaderboards, recommended URLs), are provided to you as part of the Service. You may use them internally and in publications subject to the rights of the underlying providers and any third parties cited. We do not warrant that any LLM response is accurate, complete, or free of errors — see Section 9.
How we handle personal data is described in our Privacy Policy. By using the Service, you also agree to the terms of our Data Processing Agreement, which is incorporated by reference and available on request at [email protected].
5. Third-party integrations
The Service may allow you to connect third-party services — for example, Google Search Console, Google Ads, or other marketing tools — by authorizing CiteFoundry to access them on your behalf via OAuth. By connecting such a service, you authorize us to access data from that service strictly to provide the functionality you requested (e.g. importing keywords to seed prompt generation). Your use of those third-party services is governed by their respective terms; we are not responsible for their availability or content.
6. Plans, fees, and billing
The Service is offered on tiered subscription plans. Current pricing is published at citefoundry.com/#pricing. Each plan defines a set of "limits" — including, without limitation, the number of monitored prompts, tracked brands, runs per month, projects, team seats, available LLM providers, data retention, and API rate limits — that we enforce automatically.
Paid subscriptions are billed through Stripe in advance on a monthly or annual basis, depending on your selection. By providing payment details you authorize CiteFoundry, through Stripe, to charge the payment method on file for all amounts due. Fees are non-refundable except as required by law or as expressly stated in these Terms. EU customers are billed via Stripe's EU entity with VAT collected and remitted on our behalf.
We may change pricing or plan limits with at least 30 days' notice via email to account owners and a banner in the dashboard. Changes will take effect on your next renewal. If you do not accept a price change, you may cancel your subscription before it takes effect.
You can cancel your subscription at any time from Settings → Billing (which opens the Stripe Customer Portal). Cancellation takes effect at the end of the then-current billing period; the Service remains available until that period ends, after which the account reverts to the Free plan or is closed at your election.
7. Public API
The Service includes a versioned REST API. API access is governed by per-key scopes and by a per-key rate limit derived from your plan. You agree to use the API only with the scopes you have been granted and to respect the documented rate limits. We may revoke API keys that are used to abuse the Service, that have been exposed publicly, or that we reasonably believe to be compromised.
We maintain backwards compatibility within a major API version
(e.g. /v1). Breaking changes
will land on a new major version with a deprecation period of at
least 6 months for the old version.
8. Intellectual property
As between you and us, CiteFoundry and its licensors own all rights, title, and interest in and to the Service, including the software, the visual design, the documentation, and all modifications and derivative works thereof. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.
You may not (a) copy, modify, or create derivative works of the Service, (b) reverse-engineer or attempt to discover the source code of the Service except as permitted by law, (c) use the Service to build a competing product, or (d) remove or alter any proprietary notices.
If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use them without restriction.
9. Warranties & disclaimers
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, or secure.
The Service depends on third-party LLM providers. Their availability, output quality, and policies are outside our control. CiteFoundry does not warrant the accuracy, completeness, or reliability of any LLM-generated content. You should not rely on the Service as the sole basis for material business decisions without independent verification.
Mention counts, sentiment classifications, citation extraction, and share-of-voice numbers are analytical estimates produced by automated heuristics and machine-learning models. They may misclassify, misattribute, or miss content entirely.
10. Limitation of liability
To the maximum extent permitted by law, in no event will CiteFoundry, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation damages for lost profits, lost revenue, lost data, business interruption, or substitute services, arising out of or related to the Service, even if advised of the possibility of such damages.
Our total cumulative liability for any claim arising out of or related to the Service will not exceed the greater of (a) the fees you paid to CiteFoundry in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).
Nothing in these Terms limits liability that cannot be limited under applicable law (including, where relevant, liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation).
11. Indemnification
You will indemnify, defend, and hold harmless CiteFoundry, its affiliates, and their respective officers, directors, employees, and agents from and against any third-party claim, suit, or proceeding, and any related losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees), arising out of (a) your use of the Service in violation of these Terms, (b) any Customer Data you submit, or (c) your violation of any third party's rights, including any LLM provider's terms.
12. Termination
You may terminate your subscription at any time via the Stripe Customer Portal. We may suspend or terminate your access to the Service if (a) you materially breach these Terms and fail to cure within 14 days of notice, (b) we believe immediate suspension is necessary to protect the Service or other customers, or (c) we are required to do so by law. Upon termination, your right to access the Service ends; we will, on request and where feasible, provide you with an export of your Customer Data within 30 days, after which we may delete it in accordance with our retention policy.
13. Changes to these Terms
We may update these Terms from time to time. We will provide at least 30 days' advance notice of material changes by email to account owners and a banner in the dashboard. If you do not agree to the changes, you may cancel your subscription before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Governing law & disputes
These Terms are governed by the laws of the jurisdiction in which CiteFoundry is organized (as identified to you at signup and on invoices), without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the courts of that jurisdiction, and you consent to personal jurisdiction and venue there. Mandatory consumer-protection laws in your jurisdiction (if any) remain unaffected.
15. General
- Entire agreement. These Terms, together with our Privacy Policy, Data Processing Agreement, and any order forms, constitute the entire agreement between you and us regarding the Service and supersede prior agreements.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full effect.
- No waiver. A failure to enforce any provision is not a waiver of that provision.
- Force majeure. We are not liable for delays or failures caused by circumstances beyond our reasonable control.
- Notices. Notices to you may be sent to the email associated with your account. Notices to us must be sent to [email protected].
